Clause Library

Store and reuse standard contract clauses in your Clause Library for consistent drafting.

The Clause Library stores your pre-approved contract clauses for quick insertion into drafts. Build a library of standard terms your team can reuse.

Accessing the Clause Library

  1. Go to Templates page
  2. Click the Clause Library tab
  3. View, search, and manage your clauses

Why Use a Clause Library?

Benefits of maintaining standard clauses:

  • Consistency - Same language across all contracts
  • Speed - Quick insertion without retyping
  • Compliance - Pre-approved by legal team
  • AI Priority - Your clauses appear first in AI suggestions
AI Integration

When you use AI-assisted drafting, clauses from your library are prioritized over AI-generated suggestions. Build your library for better drafting results.

Clause Properties

Each clause includes:

FieldDescription
NameDescriptive title
TypeCategory (payment, liability, termination, etc.)
ContentThe actual clause text
Risk LevelLow, Medium, or High
StandardWhether this is your default for this type
NotesUsage guidance or context

Clause Types

Organize clauses by type:

  • Payment Terms
  • Liability & Indemnification

  • Data Protection
  • Insurance Requirements
  • And more...

Adding Clauses

Manually

  1. Click Add Clause
  2. Enter clause details:
    • Name
    • Type
    • Content
    • Risk level
  3. Mark as "Standard" if it's your default
  4. Click Save

From Contracts

Extract clauses from analyzed contracts:

  1. Open a contract detail page
  2. Go to Clauses tab
  3. Find a clause you want to save
  4. Click Add to Library
  5. Review and save

From Templates

Import clauses from templates:

  1. Open a template
  2. Select clause text
  3. Click Save to Library
  4. Categorize and save

Using Clauses in Drafts

Manual Insertion

  1. Open a draft
  2. Position cursor where clause should go
  3. Click Insert Clause
  4. Browse or search your library
  5. Click a clause to insert

AI Suggestions

When using AI-assisted drafting:

  1. Your library clauses appear first
  2. Marked with "From Your Library" badge
  3. Click to insert directly
  4. Or customize before inserting

Managing Clauses

Edit

Update clause content:

  1. Find the clause
  2. Click Edit
  3. Modify content or metadata
  4. Save changes
Existing Drafts

Editing a clause doesn't affect drafts where it's already been inserted. Changes only apply to future insertions.

Delete

Remove unused clauses:

  1. Click Delete on the clause
  2. Confirm deletion
  3. Clause is permanently removed

Set as Standard

Mark a clause as your default for its type:

  1. Edit the clause
  2. Toggle Standard Clause on
  3. This clause is suggested first for its type

Searching Clauses

Find specific clauses:

  1. Enter search terms
  2. Filter by clause type
  3. Filter by risk level
  4. Results update in real-time

Clause Versioning

Track clause evolution:

  • New versions created on edit
  • History preserved for compliance
  • View version history from clause detail

Best Practices

  1. Review regularly - Keep clauses current with legal standards
  2. Mark standards - Identify your go-to clauses
  3. Add context - Use notes to explain when to use each clause
  4. Categorize consistently - Use standard type names
  5. Include variations - Have clauses for different negotiating positions
